Introduction
This Community Association Management Service Agreement ("Agreement") is made and entered into on the date specified within the agreement, by and between “the Parties”, the Community Association ("CA") as specified within the Agreement, and the Community Association Manager/Community Association Management Company ("CAM"):

WHEREAS, the CA desires to engage the services of the CAM to provide professional community association management services, and the CAM agrees to provide such services under the terms and conditions set forth herein; ​​NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:​​​
KEY DEFINITIONS

BOD: Board of Directors.

CAM: Community Association Manager / Community Association Management Company.

CA: Community Association.

POC: Point of Contact.
-
CC&Rs: Covenants, Conditions & Restrictions of the Association.

Business days: The CAM’s Business Days as outlined in the Agreement between the BOD, CA, and CAM.

CAM SCOPE OF SERVICES
The services to be provided by the CAM are detailed in the Agreement's attached Proposal presented to the BOD. Any service not specifically included or referenced in the Proposal and/or Agreement shall be considered an Additional Service, which shall be charged at the CAM's hourly rate as disclosed in the Proposal.

The CAM is required to:

Discharge its duties loyally, skillfully, and diligently.

Deal honestly and fairly.

Act in good faith.

Provide full disclosure to the CA.

Account for all funds the CAM is responsible for.

Avoid charging unreasonable and/or excessive fees.​​​

Provide to the CA in a transparent matter:

Hours of operation of the CAM to ensure accessibility of CAM Scope of Services.

Contact information for each Licensed CAM and/or representative assigned to the association.​

Any applicable CAM After-hour Policies.

A summary of duties performed by the CAM and/or representative.

A copy of the contract between the CA and the CAM, promoting transparency in management agreements

This information should be posted on the CA/CAM website/webpage and/or mobile application and updated within 14 business days of any changes with appropriate notices provided to the CA Members. ​
ENTITY DOCUMENT REQUIREMENTS
The CA shall provide all applicable legal documentation and governing document records to the CAM within three (3) business days from executing the Agreement. Such documents may include but are not limited to, Trust Agreements, Trust Certificates, Operating Agreements, Agendas, Schedules, Last Month of Bank Statement before CAM began, Minutes of Meetings, Business Resolutions, Banking and Financial Information, and/or any other documentation and records that are required or necessary for the CAM to provide the CAM’s scope of services.
